Terms of Service
Effective date: September 27, 2026
These Terms of Service ("Terms") govern access to and use of the Close Ledger website, month-end close platform, Gmail add-on, and related services (collectively, the "Service"). By creating an account, installing an integration, or using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to accept these Terms for that organization.
1. The Service
Close Ledger provides workflow, task-management, document-support, financial-review, collaboration, integration, and optional artificial-intelligence features for accounting teams. We may improve or modify the Service over time while seeking to preserve its core functionality.
2. Accounts and authorized use
You must provide accurate information, keep login credentials secure, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for ensuring that your users comply with these Terms. You may use the Service only for lawful business purposes.
3. Customer data
You retain ownership of information, documents, messages, financial data, and other content submitted to the Service ("Customer Data"). You grant Close Ledger a limited right to host, process, transmit, display, and back up Customer Data solely as needed to provide, secure, support, and improve the Service in accordance with our Privacy Policy.
4. Gmail integration
The Close Ledger Gmail add-on accesses only the message currently opened through the add-on and eligible attachments selected or submitted by the user. This information is used to create a Personal To-Do and its supporting content in the user's Close Ledger account. Users may revoke Google access or disconnect the integration at any time. Use of Google information is also governed by the Google API Services User Data Policy, including its Limited Use requirements.
5. Artificial-intelligence features
Optional AI features may generate summaries, observations, or responses from information submitted by an authorized user. AI-generated output may be incomplete or inaccurate and does not constitute accounting, tax, legal, investment, or other professional advice. Users are responsible for reviewing output and making all business decisions. Google Workspace data obtained through the Gmail add-on is not sent to an AI provider as part of the Gmail-to-task workflow.
6. Acceptable use
You may not:
- Use the Service unlawfully or infringe another person's rights.
- Attempt to bypass access controls, security, subscriptions, or usage restrictions.
- Interfere with the Service, introduce malicious code, or conduct unauthorized security testing.
- Use automated means to extract data or overload the Service without written permission.
- Upload content you do not have the right or authority to use.
- Resell or sublicense the Service except under a written agreement with Close Ledger.
7. Subscriptions, trials, and payment
Paid features are subject to the plan, fees, billing cycle, and usage limits presented during signup or purchase. Trial access may expire or convert only as disclosed to the customer. Fees are nonrefundable except where required by law or expressly stated otherwise. We may change future pricing with advance notice, but a price change will not retroactively alter a completed billing period.
8. Third-party services
The Service may interoperate with third-party products such as Google Workspace, payment processors, email-delivery providers, hosting providers, and OpenAI's API Platform. Third-party services are governed by their own terms and may change or become unavailable. Close Ledger is not responsible for third-party systems outside our reasonable control.
9. Intellectual property
Close Ledger and its licensors retain all rights in the Service, software, designs, documentation, trademarks, and related technology, excluding Customer Data. Subject to these Terms and applicable fees, we grant you a limited, nonexclusive, nontransferable, revocable right to use the Service during your authorized subscription or trial.
10. Confidentiality and security
Each party will use reasonable care to protect the other's confidential information and will use it only to fulfill obligations under these Terms. Close Ledger maintains safeguards designed to protect Customer Data, but no online service can guarantee absolute security.
11. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for material breach, unlawful use, security risk, nonpayment, or conduct that threatens the Service or other users. When practical, we will provide notice and an opportunity to cure. Provisions that by their nature should survive termination will remain in effect.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available." Close Ledger disclaims implied warranties, including merchantability, fitness for a particular purpose, and noninfringement. We do not guarantee uninterrupted operation or that every error will be corrected.
13. Limitation of liability
To the maximum extent permitted by law, Close Ledger will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data. Close Ledger's aggregate liability arising from the Service will not exceed the amount paid by the affected customer for the Service during the twelve months preceding the event giving rise to the claim.
14. Governing law
These Terms are governed by the laws of the State of Vermont, without regard to conflict-of-law principles. The parties will attempt in good faith to resolve disputes informally before pursuing formal proceedings.
15. Changes
We may update these Terms from time to time. We will post updated Terms here, revise the effective date, and provide additional notice when legally required. Continued use after an update becomes effective constitutes acceptance of the revised Terms.
